TRADE & WHOLESALE TERMS AND CONDITIONS OF SALE

These Trade & Wholesale Terms and Conditions (โTrade Termsโ) apply to all sales of Goods by The Mensa Table Company (โweโ, โusโ, โourโ) to customers purchasing in the course of business (โyouโ, โTrade Customerโ).
1. Application of These Terms
1.1 These Trade Terms apply to all quotations, orders and Contracts entered into with Trade Customers.
1.2 These Trade Terms supersede any consumer terms and exclude any terms proposed by you unless expressly agreed in writing by us.
1.3 No employee or agent has authority to vary these Trade Terms unless confirmed in writing by a director of The Mensa Table Company.
2. Definitions
- โGoodsโ: Bespoke or standard tables, chairs, benches, timber furniture, fittings, accessories and related products supplied now or in the future.
- โBespoke Goodsโ: Goods manufactured to your measurements, drawings, specifications or finishes.
- โContractโ: The agreement formed once we issue written order confirmation.
- โTrade Customerโ: A customer acting wholly or mainly in the course of business.
3. Quotations and Orders
3.1 All quotations are:
- Valid for 30 days unless stated otherwise;
- Subject to material availability;
- Based on information supplied by you.
3.2 A binding Contract is formed only when we issue written order confirmation.
3.3 Orders may not be cancelled or varied once accepted without our written consent.
4. Bespoke Goods
4.1 The majority of Goods supplied to Trade Customers are Bespoke Goods.
4.2 You are responsible for:
- Accuracy of all drawings, specifications and measurements;
- Compliance with building regulations, fire regulations and load requirements;
- Ensuring suitability of Goods for commercial use.
4.3 Bespoke Goods cannot be cancelled, returned or refunded once manufacture has commenced.
4.4 Timber is a natural material. Grain variation, colour change, knots, splits, checking, resin bleed and movement are inherent and do not constitute defects.
5. Prices
5.1 Prices are quoted in GBP (ยฃ) and are exclusive of VAT unless stated otherwise. Prices shown on our website are inclusive of VAT.
5.2 Delivery, installation, access equipment and site handling are charged separately unless expressly included.
5.3 We reserve the right to increase prices prior to order confirmation due to:
- Timber price increases;
- Supplier cost increases;
- Changes to specification requested by you.
6. Payment Terms
6.1 Unless otherwise agreed in writing:
- 50% deposit payable on order;
- Balance payable prior to dispatch.
6.2 We reserve the right to require payment in full upfront for new Trade Customers.
6.3 No Goods shall be dispatched until cleared funds are received.
6.4 Late payments may attract interest at 8% above the Bank of England base rate, calculated daily, under the Late Payment of Commercial Debts (Interest) Act 1998.
6.5 You shall indemnify us for all reasonable costs of debt recovery.
7. Credit Accounts (If Agreed)
7.1 Credit accounts are granted at our sole discretion.
7.2 We may withdraw credit facilities at any time without notice.
7.3 Credit limits must not be exceeded.
8. Production and Lead Times
8.1 Production times are estimates only.
8.2 Time is not of the essence unless expressly agreed in writing.
8.3 Delays caused by material supply, workshop capacity or force majeure do not entitle you to cancel the Contract.
9. Delivery and Risk
9.1 Delivery dates are estimates only.
9.2 Risk in the Goods passes to you upon delivery or collection, whichever occurs first.
9.3 You must:
- Ensure adequate access for delivery;
- Provide suitable lifting and handling arrangements if required.
9.4 Failed deliveries or site access issues may incur additional charges.
10. Inspection and Claims
10.1 You must inspect Goods immediately upon delivery.
10.2 Claims for:
- Transit damage must be notified within 48 hours of delivery;
- Other defects must be notified within 7 days of delivery.
10.3 Failure to notify within these timescales constitutes acceptance of the Goods.
11. Returns and Cancellations
11.1 Bespoke Goods are non-returnable and non-refundable.
11.2 Non-bespoke Goods may only be returned with our written consent and may be subject to:
- A restocking charge;
- Return transport costs.
12. Warranties and Liability
12.1 All implied warranties, conditions and terms are excluded to the fullest extent permitted by law.
12.2 We warrant that Goods will materially conform to agreed specifications at the time of delivery.
12.3 We do not warrant:
- Fitness for a particular commercial purpose;
- Compliance with specific regulations unless expressly agreed in writing.
12.4 Our total liability shall not exceed the price paid for the Goods giving rise to the claim.
12.5 We shall not be liable for:
- Loss of profit;
- Loss of business or contracts;
- Loss of goodwill;
- Indirect or consequential loss.
13. Installation and Site Conditions
13.1 Unless expressly agreed, Goods are supplied supply-only.
13.2 Where installation is agreed:
- You are responsible for site readiness;
- Delays caused by site conditions may incur additional charges.
13.3 We are not responsible for damage caused by other trades.
14. Care, Maintenance and Environment
14.1 Timber Goods require stable environmental conditions.
14.2 We accept no liability for damage caused by:
- Excess humidity or dryness;
- Heat sources;
- Improper cleaning or maintenance.
15. Retention of Title
15.1 Title to Goods remains with us until payment in full has been received.
15.2 Until title passes, you must:
- Store Goods separately;
- Keep them identifiable;
- Not resell or modify them.
15.3 We reserve the right to recover Goods if payment is overdue.
16. Intellectual Property
16.1 All designs, drawings, specifications and imagery remain our intellectual property.
16.2 You may not reproduce or use our designs beyond the scope of the Contract without written consent.
17. Force Majeure
We shall not be liable for failure or delay caused by events beyond our reasonable control, including but not limited to supply shortages, labour issues, transport disruption or government action.
18. Confidentiality
18.1 Pricing, designs and trade terms are confidential.
18.2 You shall not disclose them to third parties without our written consent.
19. Governing Law and Jurisdiction
19.1 These Trade Terms are governed by the laws of England and Wales.
19.2 The courts of England and Wales shall have exclusive jurisdiction.
20. Entire Agreement
20.1 These Trade Terms constitute the entire agreement between the parties.
20.2 No reliance is placed on representations not expressly incorporated into this Contract.
